Aqoir App – Terms of Use

Welcome to Aqoir, a mobile application and connected hardware experience provided by Denver Life Sciences, Inc. (“Denver Life Sciences,” “we,” “us,” or “our”).

By accessing or using the Aqoir Mobile Application (“App”) and any related Aqoir hardware products (“Aqoir Bottle”), you agree to these Terms of Use (“Terms”). If you do not agree, please do not use the App.

These Terms apply to alpha and beta testing versions of the Aqoir App.

1. Eligibility & Alpha Program Participation

You must be at least 18 years old to use the Aqoir App.

The Aqoir App is currently provided as part of an alpha testing program, meaning:

• Features may change, break, or be removed
• Data accuracy is experimental
• The App may contain bugs or incomplete functionality

Participation in alpha testing is voluntary and may be discontinued by us at any time.

2. Nature of the Service

Aqoir provides general wellness insights related to hydration and lifestyle patterns.

Aqoir is not a medical device.

The App does not:

• Diagnose medical conditions
• Provide medical advice
• Replace professional healthcare guidance

Always consult a qualified healthcare professional regarding any medical concerns.

3. Account & User Responsibilities

You agree to:

• Provide accurate information when requested
• Use the App only for lawful purposes
• Not attempt to reverse-engineer, tamper with, or misuse the App or Aqoir Bottle
• Not interfere with system integrity or data security

You are responsible for maintaining the confidentiality of any login credentials.

4. Use of Aqoir Hardware

Use the Aqoir Bottle only as intended and in accordance with provided instructions.

Denver Life Sciences is not responsible for:

• Damage resulting from misuse
• Use outside documented specifications
• Modifications or third-party accessories

5. Intellectual Property

All content, software, algorithms, designs, trademarks, and materials associated with Aqoir are owned by or licensed to Denver Life Sciences, Inc.

You are granted a limited, non-exclusive, non-transferable license to use the App solely for personal, non-commercial use.

You may not:

• Copy, modify, distribute, or sell any part of the App
• Use Aqoir branding without permission
• Derive competing products from Aqoir technology

6. Feedback & Suggestions

If you provide feedback, ideas, or suggestions (“Feedback”), you grant Denver Life Sciences a royalty-free, perpetual, irrevocable right to use that Feedback for product development without obligation to you.

7. Data & Privacy

Your use of the App is governed by the Aqoir Privacy Policy, which explains how data is collected, stored, and used.

By using the App, you consent to data handling practices described in that policy.

8. Service Availability & Changes

We may:

• Modify or discontinue the App at any time
• Add, remove, or change features
• Suspend access for maintenance or security reasons

We do not guarantee uninterrupted availability.

9. Disclaimer of Warranties

The Aqoir App and Bottle are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law:

• We make no warranties regarding accuracy, reliability, or fitness for a particular purpose
• We do not guarantee specific hydration or wellness outcomes

Use is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, Denver Life Sciences shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data or business
• Personal decisions made based on App insights

Our total liability shall not exceed the amount you paid to use the App (if any).

11. Indemnification

You agree to indemnify and hold harmless Denver Life Sciences from claims arising from:

• Your misuse of the App or Bottle
• Violation of these Terms
• Violation of applicable laws or third-party rights

12. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms.

You may stop using the App at any time.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms as Aqoir evolves. Continued use after updates constitutes acceptance.
